Seventh Vacant Position оn the AmCham Bulgaria Board

Dear Members,

This is to inform you that one of our Board members – Mrs. Eliza Grancharova from Coca-Cola Bulgaria – has decided to resign from the Board of Directors of the American Chamber of Commerce in Bulgaria (“AmCham”), effective as of April 7, 2021.

On behalf of AmCham, we would like to thank Mrs. Eliza Grancharova for her service to the Board and her dedication to the AmCham community.

On a related note and in view of the fact that Mrs. Grancharova’s term of office as a member of the Board was due to expire at the end of 2021, her resignation opens one more vacancy on the Board in addition to the six vacant positions which are the result of the expiry of the respective terms of office and of which you have been notified in advance of the upcoming General Assembly (currently scheduled for May 18, 2021).

At the beginning of 2021, when we initially started the procedure for the election of new board members, we had seven candidates competing for six vacant positions. Following a written nomination process completed on February 28, 2021, in accordance with AmCham’s Statutes, six of the candidates were included in a slate of Board nominees to be voted on at the General Assembly.

Now, due to the fact that Mrs. Grancharova’s resignation has opened one additional vacancy on the Board, we need to apply the provisions of Article X, Section (C), Paragraph (1) of the Statutes, whereby as a rule all of the 12 Board positions should be filled in at all time unless there are not enough candidates for all open positions. In view of the fact that we are currently in an election process prior to the 2021 General Assembly and that we currently have a seventh candidate – Mr. Omourtag Petkov, a partner at the law firm of Djingov, Gouginski, Kyutchukov and Velichkov, who has participated in this election process, in order to ensure compliance with AmCham’s Statutes and a fully-functioning Board, the Board has unanimously decided that Mr. Omourtag Petkov should be included in the slate of nominees to the Board. This slate will be put to the vote at the upcoming General Assembly and, subject to the affirmative vote of the attending members, the seven nominees included in the slate will be appointed to the seven vacant positions on the Board of AmCham – (i) the first six nominees for a full term of office (in accordance with Article X, Section (C), Paragraph 2 of the Statutes) and (ii) the seventh nominee – Mr. Omourtag Petkov – for a term of office equal to the remainder of Mrs. Grancharova’s initial term of office (in accordance with Article X, Section (C), Paragraph 4 of the Statutes).

Taking into consideration the increasing numbers of infected and deceased people in Bulgaria and our determination not to take any risk for you, our members, as well as for us, the AmCham Bulgaria team, the AmCham Board of Directors decided to postpone the General Assembly to May 18th, 2021. If compelling circumstances, arising from the crisis with the coronavirus, prevent the Chamber from holding a General Assembly on May 18th, 2021, the event will take place on June 10, 2021, at Sofia Hotel Balkan, 5, Sveta Nedelya Square, 1000 Sofia. Our decision is in line with Article X, Section B, para (1) of the Statutes.

The mandates of the Board Members whose seat at the Board of Directors are subject to the current elections are prolonged until the General Assembly takes place.
