GENERAL ASSEMBLY

on October 08, 2026, starting at 4:00 p.m.

Dear AmCham Members,

Pursuant to a resolution of the Board of Directors of the American Chamber of Commerce in Bulgaria (the “Chamber”), adopted at a meeting of the Board of Directors held on August 18, 2026, and recorded in minutes of the same date, and in accordance with Article X, Paragraph (B), Section (3) of the Chamber’s Bylaws,

I hereby convene a General Assembly of the Chamber’s members with the following agenda:

1. Adoption of the Annual Report of the Board of Directors for 2025.
2. Approval of an auditor for 2025.
3. Review and adoption of the Chamber’s Annual Financial Statements for 2025 and adoption of the budget for 2026.

The General Assembly will be held on October 8, 2026 (Thursday), at 4:00 p.m. at Novotel Sofia, 115N Tsarigradsko Shose Blvd., 1784 Sofia, Bulgaria.

Should the required quorum not be present at the General Assembly, pursuant to Article X, Paragraph (B), Section (7) of the Chamber’s Bylaws, the General Assembly shall be held on the same date at 5:00 p.m., at the same venue and with the same agenda.

All AmCham members are invited to attend the General Assembly. Voting rights may be exercised only by the legal representatives of the members or by duly authorized representatives acting under a written Power of Attorney. One person may represent no more than one (1) member at the General Assembly by virtue of a Power of Attorney. Re-delegation of authority shall not be permitted.

Powers of Attorney must be submitted to the Chamber no later than one business day prior to the date of the General Assembly. A Power of Attorney template is available on the Chamber’s website at www.amcham.bg.

Please ensure that your membership dues have been duly paid prior to the General Assembly in order to participate and exercise your voting rights. Payment of membership dues is a fundamental obligation of every member under the Chamber’s Bylaws.
